SECTIONS 55 AND 56 INCLUDE AN AGREEMENT TO ARBITRATE AND A CLASS ACTION WAIVER. EXCEPT IN LIMITED CIRCUMSTANCES, THESE SECTIONS MEAN THAT: ANY CLAIMS YOU HAVE AGAINST KODITSY MUST BE RESOLVED THROUGH BINDING AND FINAL ARBITRATION. Your use of Koditsy is conditional upon your agreement to be bound by these User Terms, as well as the other terms and policies outlined above.
This ensures disputes are handled fairly and efficiently, while protecting the rights of all users and authors on Koditsy.

2. Legal Authority: These User Terms constitute a legally binding agreement between you and Koditsy. If you are signing up on behalf of a company, organization, or any other third party, you represent and warrant that you have full legal authority to accept these User Terms and bind that third party.

3. Definitions and Interpretation: Capitalized terms in these User Terms have the meanings provided in the Definitions section. Words such as “include” or “including” are not meant to limit meaning, and whenever something is “within our discretion,” it refers to our sole discretion.

4. Items Owned by Authors: All items on Koditsy are owned by their respective authors and are uploaded at their direction. Koditsy provides the platform and related services but does not claim ownership of any items. We encourage you to contact the author directly to ask questions or resolve any issues related to a specific item.

5. Your Privacy: For information on how we collect, use, and disclose the information you provide when using Koditsy, please see our Privacy Policy. By using Koditsy, you consent to the collection, use, and disclosure of personal and other data as described in the Privacy Policy.

6. AGE: You must be at least 18 years old to access and use Koditsy.

7. A Koditsy Account: Creating a Koditsy account is free. As a member, you can purchase items from authors and actively participate in our marketplace, helping to support a vibrant community of digital authors.

8. Your Responsability With Your Account: You agree that the information you provide to Koditsy is true, accurate, and complete, and you will keep your account information up to date, including a current email address. Your membership is non-transferable, meaning you may not sell or give away your Koditsy account. You are responsible for all activity that occurs through your account, including any actions taken using your username and password. Keep your password secure and do not share it with anyone. If you become aware of any unauthorized use of your account or a security breach, you must notify Koditsy immediately.

9. Becoming an Author: If you’d like to join our community as an Author, you can sign up and join the Author program from your user dropdown menu “Become an Author”. Please note that if you become an Author, these User Terms will continue to apply, along with the Author Terms you agree to when registering as an Author. 

10. Referral Program: Authors have access to our affiliate program. As a part of our affiliate program, if you refer a new Buyer you may be eligible to receive affiliate income. 

11. Access: As long as you comply with these User Terms, Koditsy grants you a non-exclusive, limited, non-transferable, and revocable license to access and use the platform for personal or business purposes. All rights not explicitly granted under these User Terms are reserved by Koditsy.

12. Restrictions: You may not, either on your own behalf or through any third party, and you must not allow any third party to:

i. Use “Koditsy” or any related trademarks or trade names without prior written permission;

j. Use a VPN or other methods to bypass these User Terms, or for fraudulent or illegal purposes;

k. Remove watermarks, copyright notices, or other protective measures from any item, including preview files;

l. Use a false email, impersonate others, or misrepresent your affiliation with any individual or organization;

m. Engage in excessive, unusual, or automated downloading behavior, including using scripts or bots to mass-download items or scrape the platform’s library or database;

n. Upload or submit content—whether text, graphics, audio, or video—for which you do not have proper rights or clearances, or that is illegal, offensive, or otherwise violates the Acceptable Use Policy; and

o. Access or use Koditsy in any way not expressly permitted by these User Terms.

13. What do you get when you download an Item?

a. License: When you purchase an item on Koditsy, you are acquiring a limited, non-exclusive license to use that item according to the terms of the applicable Item License. Ownership of the item always remains with the Author, who may license the same item to others. This license also applies if you download an item that someone else has purchased for you (all downloaders must be Koditsy members). Different license types are available for each item, and it is your responsibility to choose the license that matches the way you intend to use the item.

b. Item Support: Authors may choose whether or not to provide support for their items. If support is available, it will be clearly indicated on the item page and will include a specified support period. Some Authors may offer support extensions for purchase. You must be a Koditsy member to access item support.

c. Buyer Services: In addition to accessing items through the Koditsy platform, purchasing an item also provides standard buyer services from Koditsy. You can learn more about these services on the “Why Buy From Us” page.

14. Terms of Buying: When you purchase an item on Koditsy, you agree that:

a. Koditsy and the Authors do not guarantee that any item will remain available indefinitely, so you should download and save the item immediately after purchase;

b. Once you have purchased or downloaded an item and it has been paid for, you receive a non-exclusive license to use the item under the terms of the applicable license; and

c. The Author retains ownership of the item at all times, and your license is granted directly by the Author.

14. Claims Related to an Item: Koditsy provides the platform and related services, but does not own the items available on the platform. All items remain the property of their respective Authors. If you have any issues with an item, we encourage you to contact the Author directly to try to resolve the matter amicably.

15. Warranties Made by Authors: The Author of any item you purchase on Koditsy warrants that:

a. The item matches the description and preview provided by the Author on the item page;

b. Any express warranties they provide, beyond these User Terms, will be honored;

c. They hold all rights, licenses, releases, consents, and authorizations necessary to license the item under the applicable Item License;

d. Using the item according to its license does not infringe the rights (including intellectual property rights) of any third party;

e. The item, its preview, and description are not false, misleading, fraudulent, unlawful, or defamatory;

f. The item and its description comply with all applicable laws and regulations, including those related to export control, consumer protection, fair competition, criminal law, anti-discrimination, and trade practices;

g. The item does not contain viruses or other harmful code, files, or programs designed to disrupt or damage other software or hardware;

h. If the item is marked as “supported,” they will provide support in accordance with Koditsy’s Item Support Policy;

i. They will process any personal data in compliance with applicable privacy and data protection laws.

16. Limited Indemnity from Authors: Each Author provides a limited indemnity to Buyers of their items under the following conditions:

a. If a third party claims that a Buyer’s use of the item, in accordance with the terms of its license, infringes that third party’s intellectual property or other rights; and

b. If the Buyer promptly notifies the Author of the claim and allows the Author to control the defense of the claim at the Author’s expense, the Author will indemnify the Buyer for any damages finally awarded by a court or any settlement costs agreed to by the Author in relation to that claim.

17. Limitation of Author Liability: Except as noted above, an Author’s liability to Buyers for each purchased item is limited to the amount the Author received from the sale of that item, unless the liability arises from intentional misrepresentations made about the item.

18. Buying an Item: If you have a Koditsy account, you can purchase items using the “Buy Now” or “Add to Cart” options on the item page.

19. Total Item Price: The total price you pay for an item on Koditsy consists of:

a. Item Price: The license fee for the selected license, and, if applicable, a support fee for items marked as supported by the Author;

b. Buyer Fee: A fee paid to Koditsy for the platform and services provided to buyers;

c. Handling Fee: A handling fee may apply to certain transactions;

d. Taxes: Some purchases may be subject to applicable taxes, which may be added to the total price. See the “Taxes” section for more details.

20. Payment Methods: You can pay for items on Koditsy using, credit/debit card, PayPal or other payment methods we offer. Some payment methods may include additional handling fees, which are determined by the payment provider and are not controlled or displayed by Koditsy.

21. Payment Information: If you choose to pay by credit card or another payment method, you must provide accurate and valid payment information and confirm that you are authorized to use the chosen payment method. You agree to promptly update your account information for any changes, such as billing address updates or expired cards. You also agree to pay the total item price specified for each item you purchase. Any disputes regarding charges must be reported to Koditsy within sixty (60) days of the transaction date, or within any longer period required by applicable law.

22. Payment Processing: Koditsy does not process payments directly. Payments are facilitated through third-party payment processors, which are subject to their own terms, conditions, privacy policies, and other agreements. By using Koditsy, you authorize the applicable payment processor to store your payment information and bill your chosen payment method for transactions.

23. Member Statements: All transactions are recorded in your Koditsy member statement, showing payments you make as a buyer and payments you receive as an Author. You can access your member statement via your user dashboard.

24. Items with Incorrect Price or Information: Despite our best efforts, items may occasionally be listed with an incorrect price or inaccurate information. In such cases, Koditsy may, at its discretion, cancel or reverse the transaction, even if payment has already been processed. If this occurs, we will promptly issue a refund. In such situations, the Item License will be void, and you may not use the item unless you repurchase it at the correct price.

25. Your Responsibility for Taxes: You are responsible for reporting, collecting, and paying all taxes related to your use of Koditsy and your transactions on the platform. This includes any transaction taxes, except where Koditsy is required to collect and remit taxes on your behalf.

26. Transaction Taxes: In jurisdictions where Koditsy must collect or pay GST, VAT, sales tax, or other applicable transaction taxes, you agree that:

a. Koditsy may add the applicable tax or make adjustments to the total amount payable;

b. the tax amount will generally be displayed at checkout or on your invoice and included in the total payment;

c. Koditsy will collect the tax amount using available methods and remit it to the relevant tax authority.

27. Tax Information: Koditsy may, from time to time, request information or documentation for tax purposes, including location details for tax residency. Tax rates are calculated based on the information you provide. You must ensure all tax-related information is accurate, complete, and kept up to date.

28. Requesting a Refund: Due to the digital nature of items on Koditsy, refunds are generally not provided except as outlined in the Koditsy Refund Policy.

29. Assessment of Refund Requests: Refund requests are evaluated at Koditsy’s discretion and on a case-by-case basis. Generally, refunds will not be granted in the following situations:

a. You have changed your mind about an item;

b. You purchased an item by mistake;

c. You lack the expertise to use the item;

d. You request a refund as a gesture of goodwill;

e. You cannot access the item because it has been removed (we recommend downloading items immediately after purchase to avoid this); or

f. The purchase was made beyond the specified timeframe for refunds, which may vary depending on the item type and support status.

30. Processing a Refund: If the Author or Koditsy decides to issue a refund, it will generally be processed using the same payment method used for the original purchase. Refunds will be issued in EURO, in accordance with the rules of the payment method, and you are responsible for any currency conversion fees.

31. Disputes with Payment Processors: If you, as a Buyer, lodge a dispute with a payment processor (e.g., PayPal), your Koditsy account may be suspended until the dispute is resolved or canceled. Once a dispute is lodged, resolving the issue can become complex, and Koditsy will not be able to process payments or issue refunds from your account until the matter is resolved.

32. Intellectual Property- Items: All rights, including intellectual property rights, in the items on Koditsy belong to and are controlled by the Authors who created them. Items are uploaded at the Author’s direction. Koditsy does not own these items and is not responsible for their quality, safety, or legality.

33. Koditsy’s Intellectual Property: All rights, title, and interest, including intellectual property rights, in the Koditsy platform, services, sites, and any content not owned by Authors—including software, APIs, products, text, designs, compilation, “look and feel,” logos, trademarks, trade names, graphics, and other materials—are owned and/or controlled by Koditsy.

34. Copyright, Trademark, and Intellectual Property Claims: Koditsy respects the intellectual property rights of others and requires Authors to do the same. If you believe an item or member content on Koditsy infringes intellectual property rights, including copyright, please refer to our Intellectual Property Policy for guidance.

35. Feedback: We welcome your feedback, comments, and suggestions for improving the Koditsy platform and services (“Feedback”). By providing Feedback, you acknowledge and agree that you do not receive any ownership, rights, or interest in Koditsy or in the Feedback itself. All Feedback becomes the exclusive property of Koditsy, and we may use, disclose, or modify it in any way and for any purpose, without notice or compensation to you. You hereby assign to Koditsy all rights, including intellectual property rights, that you may have in any Feedback you provide.

36. Model and Property Releases: Unless an item’s page states otherwise, items on Koditsy are available for commercial use. Authors are responsible for obtaining and maintaining any required model or property releases. If you need a copy of a release, please contact the Author directly.

This includes, but is not limited to, data on site activity, user preferences, and transaction patterns.

40. Acceptable Use: Your use of Koditsy, including its content and items, must comply with our policies, including the Acceptable Use Policy and our rules for downloading items, as published on our site or Help Center.

41. Content Removal: Koditsy may review or remove any items or other content at our discretion. This may occur for quality control, in response to a valid copyright or intellectual property notice, or if we believe content is unauthorized, misleading, incorrect, offensive, or infringes on others’ rights. We may also remove content if its use could create liability for you, us, or others.

42. Search Results and Content Placement: The visibility and order of items in search results, curated sections, or other placements on Koditsy are determined by us and may be influenced by factors such as relevance, user engagement, recency, quality, editorial input, or content ownership. Koditsy may prioritize items that are owned, produced, or licensed by Koditsy or its affiliates. We reserve the right to update or modify our ranking, placement, and display methods at any time.

43. Community Participation: Koditsy values its global community. We encourage participation, feedback, and respectful engagement. Before using Koditsy, please review the Community Guidelines, as using the platform means you agree to follow them.

44. Linking to Koditsy: You are welcome to link to Koditsy, but links must point to a full page, not directly to images or files hosted on Koditsy. You may not use “in-line” linking to display Koditsy-hosted content on other sites or “frame” Koditsy pages within other content or branding. Koditsy may require you to remove any link or revoke linking privileges at its discretion.

45. Koditsy API: Koditsy provides an API that allows apps to access account data or features such as search. By using the Koditsy API, you agree to the Koditsy API Terms.

46. Third-Party Developers: We welcome contributions from members and the broader community who develop apps that work with Koditsy. You are responsible for forming your own view of these apps and their developers. Koditsy does not warrant, endorse, or assume liability for third-party apps.

47. Third-Party Services: Koditsy may integrate third-party software or services. Regarding these services:

a. Your use of third-party services is at your own risk;

b. Koditsy is not liable for your use of third-party services;

c. To the extent permitted by law, Koditsy does not endorse or assume responsibility for any third-party service;

d. Koditsy will not be liable for any matters related to third-party services; and

e. Unless stated otherwise, Koditsy is not affiliated with any third-party services used on the platform.

Indemnification, Disclaimer, and Limitation of Liability

48. Indemnity: You agree to indemnify and hold harmless Koditsy and its affiliates from any and all losses, costs (including legal fees), expenses, demands, or liabilities arising from your breach of these User Terms or from any third-party claim related to your use of Koditsy. Koditsy may, at its expense, assume exclusive control over the defense of any matter you indemnify us against, and you agree to cooperate with reasonable requests for support.

49. Disclaimer: To the extent permitted by law, Koditsy, the items, and all third-party services are provided “as is,” without warranties of any kind, whether express or implied, including implied warranties of non-infringement, merchantability, or fitness for a particular purpose. Koditsy makes no warranty that:

a. The platform will meet your requirements;

b. Your access to Koditsy will be uninterrupted, timely, secure, or error-free;

c. Results obtained from using Koditsy will be accurate or reliable; or

d. The quality of any items, products, services, information, or other material obtained through Koditsy will meet your expectations.

50. Release: You acknowledge that Koditsy does not own any items on the platform and cannot guarantee their quality, safety, authenticity, or legality. Any legal claims related to an item you purchase must be directed to the Author. You release Koditsy and its affiliates from any and all liability arising from:

a. The items on Koditsy;

b. Information provided by Authors about their items; and

c. Your use of items from Koditsy.

51. Limitation of Liability: Koditsy’s liability to you, whether in contract, tort (including negligence), or otherwise, is limited as follows:

a. Under no circumstances shall Koditsy be liable for any loss of revenue, profit, goodwill, customers, capital, reputation, data, or for any indirect, special, or consequential damages; and

b. Koditsy’s total aggregate liability to you is limited to the greater of €100 EUR or the total Buyer fees you have paid in the 12 months preceding the liability.

52. Consumer Laws: In certain jurisdictions, you may have non-excludable warranties, guarantees, or other rights under applicable consumer protection laws. As a result, some of the limitations of liability outlined above may not apply or may not be enforceable with respect to you. If you are dissatisfied with any part of Koditsy or these User Terms, your sole and exclusive remedy is to stop using the platform.

Termination

53. Suspension or Termination: Membership on Koditsy is a privilege, not an automatic right, granted to members who follow these User Terms, licenses, policies, and treat other users respectfully. While we hope you remain an active member, Koditsy may, at its reasonable discretion, determine whether your use of the platform complies with these terms. We may suspend or terminate your account at any time for any reason, including if we believe there is a risk associated with your account or payment, a legal or regulatory breach, or if you:

a. Violate these User Terms or any other terms applicable to your Koditsy account;

b. Violate any Koditsy policies;

c. Breach any applicable laws, rules, or regulations;

d. Act in a manner inconsistent with our community values, including:

 i. Engaging in illegal or serious misconduct (e.g., criminal or fraudulent activity);

 ii. Infringing the intellectual property rights of others;

 iii. Violating our Community Guidelines; or

e. Act in a way that could cause harm to Koditsy, its affiliates, Authors, or other users, including:

 i. Any public conduct or communication that adversely affects the reputation of Koditsy or its affiliates;

 ii. Threats or damage to Koditsy employees, products, services, or other users.

If your account is terminated, you may not create a new account and this decision may extend to any other Koditsy accounts you hold. We may also cancel unverified accounts or accounts inactive for a prolonged period.

54. Cancellation: You may cancel your membership at any time by contacting Koditsy.

Dispute Resolution

55. Arbitration: Any dispute or claim arising out of or relating to these User Terms, or any breach thereof, shall be resolved by binding individual arbitration (not as a class action) under the Commercial Arbitration Rules of a recognized arbitration body in effect at the time the arbitration begins, rather than in court. The arbitrator’s award may be entered in any court with jurisdiction over the matter or the relevant party. This agreement to arbitrate applies to claims that arose before you first accepted any version of these User Terms containing this arbitration provision. The arbitration will take place in a mutually agreed location, conducted in English, with one arbitrator selected by mutual agreement. Each party bears its own costs.

56. Exceptions to Arbitration: The following claims are excluded from arbitration and may be brought in a court of competent jurisdiction:

Claims regarding actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights;

Claims seeking emergency injunctive relief due to exigent circumstances (e.g., imminent danger, criminal activity, hacking, or cyber-attacks);

Claims arising solely from your alleged failure to pay fees due to Koditsy.

All aspects of the arbitration, including rulings, decisions, or awards, are strictly confidential.

57. Class Action Waiver: You and Koditsy agree that claims may only be brought on an individual basis, not as part of any class or representative action. No arbitrator or judge may consolidate multiple claims or oversee any form of representative or class proceeding without mutual agreement. Injunctive relief may only be awarded to the individual party and only to the extent necessary for that party’s claim. Both parties waive the right to a jury trial for all arbitrable disputes under these User Terms.

58. Severance: If a court determines that any part of this section is unenforceable for a particular claim, that claim alone may be severed from arbitration and may be brought in court.

59. Use of Affiliated Services: Koditsy may use the services of its affiliates for any purpose related to the platform, including processing, collecting, or making payments. When a Buyer makes a payment, Koditsy acts as a limited agent for the Author, and the Buyer’s payment obligation is fulfilled once Koditsy (or an affiliate) successfully receives the payment.

60. Changes to These Terms: Koditsy may update these User Terms, as well as any other referenced terms, policies, or agreements, at any time. The current version of the User Terms will be posted on our website with the “Last Revised” date updated. We will provide reasonable prior notice of any changes that materially affect your rights or use of Koditsy, via our website and/or the email associated with your Koditsy account. By continuing to use Koditsy after such changes take effect, you agree to be bound by the updated terms. If you do not agree with the changes, you may close your Koditsy account.

61. Changes to Our Services: Koditsy may add, modify, or remove features or functionality, or discontinue the platform (or any part of it), temporarily or permanently, at any time, with or without notice.

62. Assignment: You may not transfer or assign these User Terms or any rights or obligations under them without Koditsy’s prior written consent. Koditsy may transfer or assign its rights and obligations under these User Terms, in whole or in part, at any time, with or without notice.

63. Entire Agreement: These User Terms constitute the full agreement between you and Koditsy regarding your use of the platform, superseding any prior agreements, representations, or understandings, whether written or oral, including previous versions of the User Terms. The English version of these User Terms governs.

64. Severability: If any term in these User Terms is found to be invalid or unenforceable, that finding will only apply to the specific term or portion thereof, without affecting the validity or enforceability of the remaining terms, which shall remain in full force and effect.
